                           SURAT DIREKTUR JENDERAL PAJAK
                       NOMOR S - 1221/PJ.342/2006

                             TENTANG

              PERMINTAAN PENEGASAN PERLAKUAN PPh ATAS PERALATAN TELEKOMUNIKASI
           YANG DIJUAL LANGSUNG OLEH SIEMENS AG GERMANY (KANTOR PUSAT)

                        DIREKTUR JENDERAL PAJAK,

Sehubungan dengan surat Saudara Nomor xxxxx tanggal 26 Juli 2005 perihal sebagaimana tersebut pada
pokok surat di atas, dengan ini disampaikan hal-hal sebagai berikut :

1.  Dalam surat tersebut, Saudara menjelaskan bahwa :
    a.  Siemens AG Germany (Kantor Pusat) selanjutnya disebut Siemens selaku penduduk Jerman,
        melakukan transaksi penjualan Peralatan telekomunikasi kepada PT. Telekomunikasi Selular
        selanjutnya disebut Telkomsel selaku pengimpor dan penduduk Indonesia.
    b.  Ruang lingkup transaksi Siemens adalah menyediakan peralatan Telekomunikasi beserta jasa-
        jasa yang berkaitan dengan perjanjian kontrak dengan ketentuan "turnkey basis"
    c.  Peralatan didefinisikan sebagai setiap dan atau semua alat dan komponen lain termasuk
        hardware dan software yang merupakan bagian yang tidak terpisahkan dari peralatan 
        tersebut.
    d.  Pembayaran peralatan dilakukan secara bertahap atas dasar penyerahan fisik peralatan dan
        Pembayaran komponen lisensi software didasarkan atas penggunaan kapasitas peralatan
        (pay as you grow-scheme).
    e.  Siemens berpendapat bahwa lisensi yang diberikan kepada Telkomsel selaku pemilik 
        peralatan, tidak termasuk dalam pengertian 'hak menggunakan' lisensi yang berkaitan dengan
        royalti sebagaimana dimaksud dalam Persetujuan Penghindaran Pajak Berganda (P3B) antara
        Indonesia dengan Jerman dan bukan merupakan objek pajak di Indonesia.
    f.  Saudara meminta penegasan bahwa lisensi penggunaan software oleh Telkomsel dari 
        Siemens bukan termasuk dalam pengertian royalti sebagaimana dimaksud dalam P3B 
        Indonesia-Jerman.

2.  Dalam Perjanjian dan perubahannya antara Siemens dengan Telkomsel Nomor Referensi Telkomsel
    Nomor xxxxx, terdapat ketentuan tersebut dibawah ini :
    "Article 26 : Confidentiality" dalam kontrak antara Siemens dengan Telkomsel, yaitu :
    26.1    "Both Parties agree to keep confidential any and all information with respect to the 
        implementation of this agreement ("Information") and therefore receiving party (the 
        "Receiving Party") shall not disclose such information to arty third party in any manner 
        whatsoever without prior written consent of the disclosing party (the "disclosing party"). For
        the purpose of this agreement, Information shall not be considered confidential if such 
        Information 
        (i) independently developed by the Receiving Party to whom no disclosure information
            relevant to such Information has been made;
        (ii)    in passed to the public domain other than as the result of art infringement of the
            present duty of confidentiality; or
        (iii)   known to array thurd party prior to the disclosure by the disclosing party."
    26.2    "The Disclosure of the Information is only permitted for implementation purposes of this
        agreement on "need-to-know-basis", and therefor Telkomsel is hereby granted the right to
        disclose and exchange all information relating to the equipment and Services. For this purpose,
        both Parties shall abide this declaration of confidentiality and non-disclosure and as also 
        contained in the MoU dated 17 May 2001"

3.  OECD Model Tax on Income Mill on Capital, commentary on Article 12, paragraph 11 and 11.3, 
    menyatakan sebagai berikut :
    11. "In classifying as royalties payments received as consideration for information concerning
        industrial, commercial or scientific experience, paragraph 2 (Article 12 paragraph 2 of OECD
        Model Tax Convention) alludes to the concept of 'know-how' "
    11.3    "Contracts for the supply of know-how concern information of the kind described in paragraph
        11 dolt already exist or concern the supply of that type of information after its development or
        creation and include spesific provisions concerning the confidentiality of that information."

4.  Persetujuan Penghindaran Pajak Berganda (P3B) antara Indonesia-Jerman memuat ketentuan sebagai 
    berikut .
    a.  Article 12 "Royalties and Fees for Technical Services"
        Paragraph (1)
        "Royalties and fees for technical services arising in a Contracting Slate and paid to a resident
        of the other Contracting State may be taxed in the Contracting State in Which they arise and
        according to the laws of that State, but of the recipient is the beneficial owner of the royalties
        or of the fees for technical services the tax so charged shall not exceed :."
        Paragraph (4)
        "The provisions of paragraph 1 of this article shall not apply if the beneficial owner of the
        royalties or fees for technical services, being a resident of a Contracting State in Which the
        royalties or fees for technical services arise through a permanent establishment situated
        therein, or perfoms in that other state independent personal services from a fixed base 
        situated therein, and the right, property or contract in reject of wich the royalties or fees for
        technical services are paid is effectively connected with such permanent establishment or
        fixed base. in such case, the provisions of Article 7 or Article 14, as the case may be, shall
        apply."
    b.  Article 7 "Bussines Profits"
        Paragraph (1)
        "The Profits of air enterprise of a Contracting Strife shall be taxable only in that State Unless
        the enterprise carries on business in the other Contracting State through a permanent 
        establishment situated therein. If the enterprise carries on business as aforesaid, the profits of
        the enterprise may be taxed in the other State but only so much of them as is attributable to
        that permanent establishment."
        Protocol (2) c article 7,
        "In respect of paragraph 1 of article 7, profits derived from the sale of goods or merchandise
        of the same or similar kind as those sold, or from other bussiness activities of the same or 
        similar kind as those effected, through that permanent establishment, may be considered
        attributable to that permanent establishment if it is proved, including by photocopy or tape
        recorder that
        aa) this transaction has been resorted to in order to avoid taxation in the Contracting
            State where the permanent establilshment is situated and
        bb) the permanent establishment in any way was involved in this transaction
        it is understood that a permanent establishment of an enterprise is considered to be involved
        in a transaction of such permanent establishment has signed a contract irrespective of the
        fact that the delivery is partly undertaken by its enterprise."
    c.  Article 26 " Mutual Agreement Procedure" :
        Paragraph (1)
        "Where a resident of a Contracting State consider that the actions of one or both of the 
        Contracting States result or will result for him in a taxation not in accordance with this 
        agreement, he may, without prejudice to the remedies provided by the national laws of these
        States, address to the competent authority of the Contracting Stale of which he is a resident,
        an application in writing stating the grounds for claiming a revision of that taxation. The said
        application must be presented whitin a period of two years from the date of the notification, or
        the collection at source, of the charge to tax which the resident considers not in accordance 
        with this agreement."

5.  Pajak Penghasilan Pasal 23 :
    Pajak 23 UU Nomor 7 TAHUN 1983 tentang Pajak Penghasilan sebagaimana telah diubah terakhir 
    dengan Undang-Undang Nomor 17 TAHUN 2000 antara lain mengatur hal-hal sebagai berikut :
    Pasal 23 ayat (1)
    "Atas penghasilan tersebut dibawah ini, dengan nama dan dalam bentuk apapun, yang dibayarkan 
    atau terutang oleh badan pemerintah, Subjek Pajak dalam negeri, penyelenggara kegiatan, bentuk
    usaha tetap, atau perwakilan perusahaan luar negeri lainnya kepada wajib pajak dalam negeri atau
    bentuk usaha tetap dipotong pajak oleh pihak yang wajib membayarkan :
    a.  Sebesar 15% (lima belas persen) dari jumlah bruto :
        1)  dividen, sebagaimana dimaksud dalam Pasal 4 ayat (1) huruf g;
        2)  bunga, sebagaimana dimaksud dalam pasal 4 ayat (1) huruf f;
        3)  royalti;
        4)  hadiah dari penghargaan selain yang telah dipotong Pajak Penghasilan sebagaimana
            dimaksud dalam pasal 21 ayat (1) huruf e;
    b.  sebesar 15% (lima belas persen) dari perkiraan penghasilan neto atas :
        1)  sewa dan penghasilan lain sehubungan dengan penggunaan harta;
        2)  imbalan sehubungan dengan jasa teknik, jasa manajemen, jasa konstruksi, jasa 
            konsultan, dan jasa lain selain jasa yang telah dipotong Pajak Penghasilan 
            sebagimana dimaksud dalam Pasal 21.

6.  Berdasarkan Hasil Pemeriksaan KPP Badora terhadap BUT Rep. Siemens AG untuk tahun pajak 2003,
    terdapat bukti penjualan langsung equipment dan capacity license oleh Siemens ke pelangan 
    Indonesia, sedangkan BUT Rep. Siemens juga menjual equipment dan capacity license ke pelanggan 
    yang sama di Indonesia. Atas penjualan langsung Siemens ke pelanggan Indonesia, telah dipungut
    PPN-nya Oleh BUT Rep. Siemens

7.  Berdasarkan Copy Invoice transaksi PT Telkomsel-BUT Representative Siemens sebanyak 19 lembar
    atas pembayaran "capacity license" terhitung sejak tanggal 3 April 2003 sampai dengan 3 November
    2003.

8.  Sehubungan dengan ketentuan tersebut di atas, dengan ini diberikan penegasan sebagai berikut :
    a.  Ditjen Pajak berkesimpulan bahwa ketentuan kontrak PT Telkomsel-Siemens tersebut diatas 
        mengatur tata cara pemberian informasi yang terbatas dari Siemens kepada Telkomsel dalam 
        kaitannya dengan peralatan dan pemeliharaan berdasarkan "need-to-know-basis." Hal ini
        menunjukkan bahwa dalam kontrak tersebut terdapat transaksi "know-how" yaitu informasi
        terbatas yang diberikan Siemens kepada Telkomsel tentang pengoperasian peralatan dalam
        industri komunikasi, sehingga kontrak antara Siemens  dan Telkomsel dapat digolongkan
        sebagai "know-how contract" yang menimbulkan kewajiban pembayaran royalti dari Telkomsel
        kepada Siemens melalui BUT Rep. Siemens.
    b.  Adanya bukti pembayaran PPN impor oleh BUT Rep. Siemens atas Peralatan Siemens yang 
        ditujukan kepada PT Telkomsel , dapat dikategorikan sebagai transaksi yang dimaksudkan
        dalam ketentuan limited force attraction rule sebagaimana tercantum dalam Protokol 
        perubahan angka (2) tentang Article 7 huruf c P3B Indonesia-Jerman.
    c.  Selanjutnya terhadap pembayaran tagihan oleh Telkomsel atas "peralatan dalam bentuk 
        lisensi" sesuai dengan perkembangan kapasitas yang dibutuhkan, maka pembayaran tagihan
        tersebut dapat dikategorikan sebagai pembayaran royalti kepada Siemens sebagai imbalan
        penggunaan ataupun hak untuk menggunakan informasi di bidang industri komunikasi, atau
        sebagai imbalan atas "know-how" yang diberikan oleh Siemens melalui BUT Rep. Siemens.
    d.  Apabila Siemens keberatan terhadap pemungutan PPh atas pembayaran royalti tersebut maka
        maka sesuai dengan ketentuan Pasal 26 ayat (1) P3B Indonesia-Jerman, Siemens dapat
        mengajukan complaint melalui Competent Authority Jerman.
    e.  Penegasan yang diberikan dalam surat ini ditujukan untuk penyelesaian kasus antara Siemens
        dan Telkomsel, dan hanya berlaku dalam kondisi dan situasi tersebut diatas.

Demikian disampaikan untuk dapat dipergunakan sebagaimana mestinya.
